    Information Services

    Available services

    Name availability in Pennsylvania has changed dramatically and been greatly simplified with Act 122 of 2022. The repeal of the decennial report and related name availability provisions on January 3, 2023, results in constricted name availability until full implementation of annual reports and administrative dissolutions/cancellations in 2028. However, the rules are much less complicated beginning in 2023.

    All language relating to decennial reports and the register of names has been removed from the law with the repeal of 54 Pa.C.S. §§ 501-506. This includes 15 Pa.C.S. § 504 (Effect of failure to make filings), which made a name available if an entity did not file a decennial report when required. Name availability is governed by an amended 15 Pa.C.S. § 202(b) (relating to Duplicate use of names). This subsection makes it clear that the proper name of a covered association1 must be distinguishable on the records of the Department from the following:

    The proper name of another covered association, unless the covered association has: 

    1. consented to use of the name stating that it is about to change its name, is about to cease to do business, is being wound up or is a foreign association about to withdraw from doing business in this Commonwealth;
    2. filed a tax return or certificate with the Department of Revenue indicating that the covered association or other association is out of existence or has failed for a period of three successive years to file with the Department of Revenue a report or return required by law and the fact of the failure has been certified by the Department of Revenue to the Department of State;
    3. abandoned its name under the laws of its jurisdiction of formation, by amendment, merger, consolidation, division, expiration, dissolution or otherwise, without its name being adopted by a successor, and an official record of that fact, certified as provided under 42 Pa.C.S. § 5328 (relating to proof of official records), is presented by a person to the department.

    These revisions mean that names will no longer be made available automatically because of failure to file a decennial report or because officer information is not on file from the Department of Revenue.

    The Department of State estimates that there are hundreds of thousands of entities which are "active" on the Bureau's records (having never formally dissolved or terminated), but which have not filed anything with the Department in decades and are likely no longer operating.

     

    The names of those “active” entities will not be released for use unless the company seeking that name has:  

    1. consent from the blocking association in the form of a completed Consent to Appropriation of Name [DSCB:19-17.2]
    2. a Name Availability Certificate from the Department of State or 
    3. certification from another jurisdiction that a registered foreign association has abandoned its name in its home state. 

    Filers using any of these three options must submit the appropriate documentation (e.g. executed consent, Name Availability Certificate or certificate from other jurisdiction) together with the filing that is seeking to use the name of an “active” entity.

    If the company seeking the name cannot show any of these three circumstances, it will need to wait until 2028, when (assuming the blocking company does not file an annual report) the name will be made available upon the administrative dissolution or cancellation of the blocking company.

    How to request a Name Availability Certificate 

    1. If you are unable to reach the prior filing association to obtain Consent to Appropriation of Name [DSCB:19-17.2] and suspect the association is no longer doing business, contact the Department of State to inquire about availability of the specific name which is currently in use by the prior filing association. Email RA-CORPS@pa.gov with the subject line: Name Availability to request an inquiry about the specific association name. Be sure to specify the complete name, exactly as it is used by the prior association, as well as the Department of State file/entity number and initial filing date.
    2. The Department will respond by email in 7-10 days with either a Name Availability Certificate (if the name is available) or a response that the name is not available.
    3. Upload the Name Availability Certificate .pdf as part of your online filing. The certificate becomes part of the filed document. 

     

    1 15 Pa.C.S. § 201.  Definitions.

    The following words and phrases when used in this subchapter shall have the meanings given to them in this section unless the context clearly indicates otherwise:

    "Covered association."  Any of the following:

    1. (1)  a domestic filing entity;
    2. (2)  a domestic limited liability partnership;
    3. (3)  an electing partnership; or
    4. (4)  a registered foreign association.

    In order to accommodate the volume of incoming calls to the bureau, the customer service representatives may search two entity names per call. The records may only be accessed by the correct entity name or entity number, not by officer or owner's name. Businesses are not indexed by type, tax or Federal I.D. Number, purpose or business address. Our records do not reflect officer's addresses, stock holders, business phone numbers, or any tax information.

    Verbal

    Information is provided on active companies unless the caller specifies otherwise. Our representatives can provide the entity number, the exact entity name, filing date, the effective date, if any, the business type, status and when available, officers, general partners or fictitious name owners. The business purpose may be given for fictitious names, professional corporations and the classification for trademarks. The purpose for other entities may or may not be listed.

    A corporate entity, limited partnership or limited liability entity is considered to be in good standing if it has not been dissolved, canceled, merged, withdrawn, effected a name change or has an expired term. We do not have an "active" status for corporations. Fictitious names do not have good standing status but are in effect unless canceled.

    Inquiries regarding recently submitted filings may also be addressed. If a filing is still in process, then the customer service representative may give the date the filing was received and, if accepted, the actual filing date and the date the documents were mailed. Inquiries concerning rejected filings should be directed to the Business Processing Section.

    You may reach the bureau by telephone by calling (717) 787-1057. The telephone lines are available from 8:00 am to 4:45 pm.

    Written

    Written printouts of record searches are available for a $15 fee per entity number. Record searches will provide a complete filing history of an entity.

    You may request a written search by submitting a letter to the bureau at: Department of State, Bureau of Corporations and Charitable Organizations, PO Box 8722, Harrisburg, PA 17105-8722. Your letter must contain the name and address of the entity to be searched.

    Service of Process may be sent to the registered address of the entity that appears on our records. The Secretary of the Commonwealth may accept service if so ordered by a Pennsylvania Judge. The court order, accompanied by the complaint, should be sent by certified mail to the Department of State, return receipt requested. The statutory fee is $70.00 for each defendant to be served.

    Associations registering with the Department of State are required to have a registered office address, which must be an actual street address or rural route box number in Pennsylvania. Post office box addresses alone are not acceptable. 15 Pa.C.S. § 135(c)(1).

    Listing a Commercial Registered Office Provider (CROP) in lieu of providing a registered office address is an option for any association that does not have a physical location or mailing address in Pennsylvania. 15 Pa.C.S. § 109. Prior to listing a CROP address, the association should enter into a contract for the services of the Commercial Registered Office Provider. Listing a CROP address without having entered into a contract with the CROP could subject a filer to civil and criminal penalties. Commercial Registered Office Providers may not be used for filings in which a principal place of business is required (e.g. Fictitious Name registrations).

    A Commercial Registered Office Provider (CROP) is not the same as a Registered Agent. Many states require the designation of a Registered Agent in order to register a business. Pennsylvania does not. A Registered Agent is typically an agent for service of process under the Rules of Civil Procedure. A CROP may also be "an agent authorized by the corporation or similar entity in writing to receive service of process for it" under the Pennsylvania Rules of Civil Procedures (see Pa.R.C.P. 423 and 424), but such agents are not required to be publicly designated with the Department of State as part of the business registration process.

    Many legal proceedings and business transactions require the introduction or presentation of documents certified by the Secretary of the Commonwealth as true and correct copies of the record in this office. Certified copies of the records in the Office of the Secretary of the Commonwealth may be introduced as prima facie evidence of the facts stated in the documents. This certification dispenses with the necessity of the custodian of said records to appear at the proceedings and present the documents for introduction into evidence. Any document on file with the Bureau may be certified by the Secretary of the Commonwealth. Consult the fee schedule for applicable fees.

    A certificate of subsistence (good standing) states when the corporation, limited partnership, limited liability company or limited liability partnership is still in existence as a matter of record in the Office of the Secretary of the Commonwealth.

    In addition to certifying copies of documents, this office also prepares certificates of subsistence (good standing) and certificates of due and diligent search. A certificate of due and diligent search certifies that all available records of the office have been searched and that a particular entity does not appear in our records. This office also creates certificates attesting that information on our records is true and correct. These certificates with the seal and signature of the Secretary of the Commonwealth are known as engrossed certificates. Certificates of non-existence for entities are also available.  Consult the fee schedule for applicable fees.

    To order your Subsistence Certificate online, follow these steps on our PennFile system.

    • “Create Log In”
    •  “Click on Search Business Entities”
    • “Search Name, then Click on Name”
    • “Find Subsistence/Certificate of Registration Under ‘Certified Documents’”

    Expedited service fees are in addition to the statutory fees associated with the type of document submitted or service sought. If expedited services are submitted in person, an expedited service request form must be included for each request. This form can be found on the forms page. Expedited requests are NOT accepted through the mail.

    Expedited service fees are as follows:

    • 1 hour service (received before 4:00 p.m.) - $1,000
    • 3 hour service (received before 2:00 p.m.) - $300
    • Same-day service (received before 10:00 a.m.) - $100

    Expedited service fees may be paid by credit card, check, money order, or customer deposit account, when these accounts are already established. Cash payment will not be accepted. All fees are nonrefundable.

    The purpose of this procedure is to confirm the accuracy of the document to be filed, prior to the actual submittal of the documents. When a document is submitted, it is verified for correct filing information, and if applicable, name availability. This service is available for any document at a fee of $70. The preclearance of the document is processed with the daily workload and may be expedited for an additional $70 fee provided that a name reservation has been filed when required. Preclearance of documents does not reserve an entity name.

    Special Processing is a request that multiple documents delivered to the Department of State on the same day be filed in a certain order (e.g. file first, file second). This request is completed for an additional fee of $70, using DSCB:15-153(a)(17) - Special Processing Form. The Special Processing form must be completed and submitted with each group of documents. The Special Processing fee is in addition to filing fees and expedited service fees. Without Special Processing, documents delivered to the Department on the same day will be separated and may not be filed in the desired order, resulting in the rejection of all documents. If one of the documents submitted using Special Processing is not accepted for filing, the documents to be filed after the rejected document will also be rejected.
